Welcome to MemberMap360™. These Terms of Service govern access to and use of MemberMap360™, a service provided by The Charlene Bowman LLC (“Company,” “we,” “us,” or “our”).
1. About the Service
MemberMap360™ is a subscription-based software application designed to help association leaders organize, analyze, and interpret member benefit and renewal-related data. The Service is provided as a software tool and informational resource. It is not custom consulting, legal advice, financial advice, or guaranteed business outcome support.
2. Subscription Access
Your purchase gives you a limited, non-exclusive, non-transferable right to access and use the Service during your active subscription term, subject to these Terms. Access is intended only for the subscribing organization and its authorized users under the purchased plan. You may not resell, sublicense, share access beyond your allowed users, or use the Service for unlawful purposes.
3. Billing and Renewal
MemberMap360™ is sold as a recurring subscription. By subscribing, you authorize recurring charges to your selected payment method at the rate and interval presented at checkout unless and until you cancel. Your subscription will automatically renew at the end of each billing period unless canceled before renewal. You are responsible for keeping your payment information current.
4. Cancellation
You may cancel your subscription at any time to prevent future renewal charges. If you cancel, your subscription will remain active through the end of the current paid billing period, and you will not be charged again after that period ends unless you resubscribe. Cancellation does not entitle you to a refund for the current billing period.
5. No Refunds
All payments are final and non-refundable. MemberMap360™ does not provide refunds or credits for partial subscription periods, unused time, change of mind, failure to use the Service, or failure to cancel before renewal, except where required by applicable law.
6. Self-Serve Product / Limited Support
MemberMap360™ is offered primarily as a self-serve software product. While we may provide setup guidance, product updates, or limited assistance at our discretion, purchase of the Service does not include ongoing live customer support, dedicated account management, custom consulting, custom analysis, or guaranteed response times unless explicitly stated otherwise in writing.
7. Service Availability and Changes
We may update, improve, modify, suspend, or discontinue any part of the Service at any time. We do not guarantee uninterrupted availability, error-free operation, or that the Service will always function without delays, outages, or technical issues. We reserve the right to perform maintenance, apply updates, and make changes to the Service, features, design, or functionality without prior notice.
8. User Responsibilities
You agree to use the Service lawfully and responsibly. You are responsible for: maintaining the confidentiality of your login credentials ensuring the accuracy of data entered into the Service using the Service only for internal business purposes related to your organization complying with all applicable laws and regulations. You agree not to: copy, reproduce, reverse engineer, scrape, or exploit the Service interfere with the operation or security of the Service share access outside your purchased user allowance use the Service to transmit unlawful, harmful, or misleading content.
9. Data and Outputs
You retain responsibility for the data you enter into the Service. MemberMap360™ provides analysis, summaries, templates, and outputs based on the information provided by users, but you remain solely responsible for reviewing and validating any reports, recommendations, or conclusions before relying on them for business decisions. We are not responsible for decisions made based on incomplete, inaccurate, or incorrectly entered data.
10. Intellectual Property
MemberMap360™, including its software, branding, content, templates, layout, visuals, text, workflows, and related materials, is owned by MemberMap360™ and protected by applicable intellectual property laws. Your subscription does not transfer ownership of the Service or any related intellectual property to you.
11. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MemberMap360™ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability. We do not warrant that the Service will meet every expectation, produce any specific result, or operate without interruption or error.
12. Limitation of Liability
To the fullest extent permitted by law, The Charlene Bowman LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of revenue, profits, business opportunities, goodwill, data, or use arising out of or related to the Service. To the fullest extent permitted by law, The Charlene Bowman LLC’s total liability for any claim arising out of or relating to the Service shall not exceed the amount paid by you to The Charlene Bowman LLC during the twelve (12) months immediately preceding the event giving rise to the claim.
13. Termination
We reserve the right to suspend or terminate access to the Service if you violate these Terms, misuse the Service, attempt unauthorized access, or engage in conduct that harms the Service or other users.
14. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
